TERMS AND CONDITIONS
The terms and conditions below (the "Terms of Service") govern your access to and use of HHC's websites, mobile applications, products, and services (collectively, the "Site"), excluding any services provided to you by HHC under a separate written agreement. The Terms of Service constitute a legal agreement between you and HHC. You agree to the Terms of Service by accessing or using the Site. Do not access or use the Site if you are unwilling or unable to be bound by the Terms of Service.
Definitions.
A "user" is someone who accesses, browses, crawls, scrapes, or in any way uses the Site. The terms "you" and "your" refer to you, as a user of the Site. The terms "we", "us", "our", "HHC", “Happy Hour Channel”, “www.happyhourchannel.com”, refer to Happyhourchannel.com, a subsidiary of Sina Sayyah Enterprises, Inc., a California S corporation.
"Content" means text, images, photos, audio, video, and all other forms of data or communication. "Your Content" means Content that you submit or transmit to or through the Site, such as ratings, reviews, compliments, invitations, and information that you display as part of your account profile. "User Content" means Content that users submit or transmit to or through the Site. "HHC Content" means Content that we create and make available on the Site. "Third Party Content" means Content that is made available on the Site by parties other than HHC or its users, such as data providers who license data to HHC for use on the Site. "Site Content" means all of the Content that is made available on the Site, including Your Content, User Content, Third Party Content, and HHC Content.
“Venue” means a place of business, bar, or restaurant that offers a food or drink special, an event, or is otherwise featured in the Site.
Eligibility.
You represent and warrant that you (a) have not previously been suspended by HHC or removed from the Site; (b) are not a direct competitor of HHC; (c) do not have more than one HHC account at any given time; and (d) that you have full power and authority to enter into these Terms of Service and in doing so will not violate any other agreement to which you are a party.
You must of legal drinking age in your country of residence to register as a member of or use this site. Membership in the service is void where prohibited. By using and/or viewing this site, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions and that you are of legal drinking age.

Changes to the Terms of Service and Privacy Policy.
We may modify the Terms of Service and Privacy Policy from time to time. When changes are made, we will notify you by making the revised version available on this webpage and will indicate at the top of this page the date that revisions were last made. You should revisit these Terms of Service on a regular basis as revised versions will be binding on you. Any such modification will be effective upon our posting of new Terms of Service. You understand and agree that your continued access to or use of the Site after any posted modification to the Terms of Service indicates your acceptance of the modification.
User Accounts.
You need to create an account and provide information about yourself in order to use some of the features on the Site. You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason. There are two types of accounts:
1. A "User Account" is an account for your personal, non-commercial use only. In creating a User Account, we ask that you provide complete and accurate information about yourself to bolster your credibility as a contributor to the Site. You may not impersonate someone else (e.g., adopt the identity of a celebrity or your next-door neighbor), create an account for anyone other than yourself, provide an email address other than your own, or create multiple User Accounts.
2. A "Client Account" is an account to be used solely for the purpose of representing your venue on the Site. In creating or updating a Client Account, you must be an authorized representative of the business in question, and you must provide complete and accurate information about yourself and the business you represent, including a photo of yourself to be displayed in connection with your Client Account. You may not provide an email address that is not your own or create multiple Client Accounts for the same business location. Client accounts may require payment for access to premium features,
5. Use of the Site.
We grant you permission to use the Site subject to the restrictions in these Terms of Service. In accessing or using the Site, you may be exposed to Content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. HHC does not endorse such Content, and cannot vouch for its accuracy. You therefore access and use the Site at your own risk.
Restrictions on Use.
You agree that you will not, and will not assist or enable others to:
1. use the Site to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another user's use of the Site;
2. use the Site to submit or transmit spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not;
3. use the Site for promotional or commercial purposes, except as expressly allowed in writing by HHC;
4. use the Site in a manner that may create a conflict of interest, such as trading reviews with other business owners or writing or soliciting shill reviews;
5. use the Site for keyword spamming or to otherwise attempt to manipulate natural search results;
6. use the Site to promote bigotry or discrimination against protected classes;
7. use the Site to violate any third-party right, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
8. use the Site to submit or transmit pornography or illegal content;
9. use the Site to solicit personal information from minors or to harm or threaten to cause harm to minors;
10. use the Site in violation of the Terms of Service or any applicable law;
11. modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site or Site Content (other than Your Content), except as expressly authorized by HHC;
12. reverse engineer any portion of the Site;
13. remove or modify any copyright, trademark or other proprietary rights notice on the Site or on any materials printed or copied off of the Site
14. record, process, or mine information about other users;
15. use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the Site or any Site Content;
16. access, retrieve or index the Site to for purposes of constructing or populating a searchable database of business reviews;
17. reformat or frame any portion of the Site;
18. take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on HHC's technology infrastructure;
19. attempt to gain unauthorized access to the Site, user accounts, computer systems or networks connected to the Site through hacking, password mining or any other means; use the Site or any Site Content to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature (collectively, "Viruses"); use any device, software or routine that interferes with the proper working of the Site, or otherwise attempt to interfere with the proper working of the Site; make excessive traffic demands; use the Site to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Site or Site Content; remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, features that prevent or restrict the use or copying of Site Content, or features that enforce limitations on the use of the Site.
The restrictions above only apply to the extent permissible under applicable law. Nevertheless, you agree not to act contrary to them (even if permissible under applicable law) without providing 30 days' prior written notice to us here, together with any information that we may reasonably require to give us an opportunity to provide alternative remedies or otherwise accommodate you at our sole discretion.
Permission to Use Your Content.
We may use Your Content in a number of different ways, including displaying it on the Site, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms ("Other Media"). As such, you hereby irrevocably grant us permission to use Your Content for any purpose. You also irrevocably grant the Site's users and the users of any Other Media the right to access Your Content in connection with their use of the Site and any Other Media. Finally, you irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your Content.
Responsibility for Your Content.
You alone are responsible for Your Content. You assume all risks associated with Your Content, including anyone's reliance on its accuracy, completeness or usefulness, or any disclosure by you of information in Your Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use, and authorize the use of, Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by HHC.
You may expose yourself to liability if, for example, Your Content violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is false, intentionally misleading, or defamatory; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation.
The Site is primarily dedicated to collecting and displaying user and client created content. Therefore, we do not take any responsibility for your content and you agree to maintain its accuracy and not to engage in any deceptive business practices.
Use of Content.
We may remove or reinstate User Content from time to time at our sole discretion. For example, we may remove a review if we believe it violates our content guidelines. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.
HHC and its licensees may display advertisements and other information adjacent to or included with Your Content on the Site and Other Media. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.
Copyright and Trademark Dispute Policy.

Site Availability.
We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.
Unauthorized Access.
We reserve the right to exercise whatever lawful means we deem necessary to prevent unauthorized access to or use of the Site, including, but not limited to, technological barriers, IP mapping, and contacting your Internet Service Provider (ISP) regarding such unauthorized use.
Suggestions and Improvements.
By sending us any ideas, suggestions, documents or proposals ("Feedback"), you agree that (i) your Feedback does not contain the confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.
Termination.
1. We may terminate or suspend your account or ability to use the Site, in whole or in part, at our sole discretion, for any or no reason, and without notice or liability of any kind. For example, we may terminate or suspend your account or ability to use the Site if you misuse the Site. Any such termination or suspension could prevent you from accessing your account, the Site, Your Content, Site Content, or any other related information.
2. You may terminate the Terms of Service at any time by closing your account, discontinuing your use of any and all parts of the Site, and providing HHC with a notice of termination via our contact us page. If you close your account, we may continue to display Your Content where it implicates other users.
3. In the event of any termination, whether by you or us, certain sections, as we deem applicable, of Terms of Service will continue in full force and effect, including our right to use Your Content.
Ownership.
We own the HHC Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, aggregate user review ratings, and all other elements and components of the Site excluding User Content and Third Party Content. We also own the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world (the "IP Rights") associated with the HHC Content and the Site, which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. As such, you may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the HHC Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Site and the HHC Content are retained by us.
Warranties, Disclaimers, and Limitations of Liability.
1. THE SITE AND ALL SITE CONTENT IS MADE AVAILABLE TO YOU ON AN "AS IS" BASIS. HHC MAKES NO WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO (1) THE OPERATION AND FUNCTIONALITY OF THE SITE, (2) THE ACCURACY, INTEGRITY, COMPLETENESS, QUALITY, LEGALITY, USEFULNESS, SAFETY, AND IP RIGHTS OF ANY OF THE SITE CONTENT, INCLUDING BUT NOT LIMITED TO THE ACCURACY OF BUSINESS REVIEWS AND BUSINESS INFORMATION LISTED ON THE SITE, AND (3) THE PRODUCTS AND SERVICES ASSOCIATED WITH THE SITE OR SITE CONTENT, INCLUDING BUT NOT LIMITED TO THE PRODUCTS AND SERVICES SOLD BY BUSINESSES LISTED ON THE SITE. HHC FURTHER DISCLAIMS ALL WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM HHC OR THE SITE SHALL CREATE ANY WARRANTY, REPRESENTATION, OR CONDITION NOT EXPRESSLY STATED HEREIN.
2. HHC DISCLAIMS ALL LIABILITY FOR ANY (A) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (B) LOSS OF PROFITS, (C) BUSINESS INTERRUPTION, (D) LOSS OF OR DAMAGE TO REPUTATION OF HHC OR ANY THIRD PARTY, OR (E) LOSS OF INFORMATION OR DATA.
3. HHC FURTHER DISCLAIMS ALL LIABILITY FOR ANY LOSS OR DAMAGE ARISING OUT OF YOUR USE OF THE SITE AND SITE CONTENT. YOUR USE OF THE SITE AND SITE CONTENT IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY RESULTING LOSS OR DAMAGE, INCLUDING BUT NOT LIMITED TO ANY LOSS OF DATA OR DAMAGE TO YOUR COMPUTER FROM VIRUSES THAT MAY BE DOWNLOADED TO YOUR COMPUTER IN THE COURSE OF USING THE SITE.
4. HHC ALSO DISCLAIMS ALL LIABILITY FOR ANY LOSS OR DAMAGE ARISING OUT OF YOUR COMMUNICATIONS OR DEALINGS WITH ANY OF THE BUSINESSES, ADVERTISERS, OR USERS ON THE SITE. YOUR COMMUNICATIONS OR DEALINGS WITH SUCH BUSINESSES, ADVERTISERS, AND USERS ARE SOLELY BETWEEN YOU AND THEM, THOUGH HHC RESERVES THE RIGHT TO MONITOR DISPUTES BETWEEN YOU AND THEM.
5. YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SITE OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE.
6. HHC'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSES WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION (WHETHER SUCH LIABILITY ARISES DUE TO NEGLIGENCE, BREACH OF CONTRACT, MISREPRESENTATION OR FOR ANY OTHER REASON), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (I) THE AMOUNT PAID, IF ANY, BY YOU TO HHC IN CONNECTION WITH THE SITE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) US$50.
Indemnity.
You agree to indemnify and hold HHC, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of the Site, (ii) your violation of the Terms of Service, or (iii) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. HHC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of HHC. HHC will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
Third Parties.
The Site may include links to other websites (each, a "Third Party Site"). We do not control or endorse any Third Party Site, and you agree that we are not responsible for the availability or contents of such Third Party Sites. Some of the services made available through the Site are provided in connection with third parties and subject to additional terms posted here, which terms are incorporated herein by reference.
Miscellaneous.
1. If there is any dispute about or involving the Site or HHC, you agree that any such dispute will be governed by the laws of the State of California without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts in Los Angeles County, California.
2. No agency, partnership, joint venture, or employment is created as a result of the Terms of Service, and you do not have any authority of any kind to bind us in any respect whatsoever.
3. We may provide you with notices, including those regarding changes to the Terms of Service by email, regular mail or postings on the Site.
4. Except as otherwise stated in Section 20 above, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.
5. The Terms of Service contain the entire agreement between you and us regarding the use of the Site, and supersede any prior agreement between you and us on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms of Service.
6. Any failure on our part to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
7. If any provision of the Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms of Service shall otherwise remain in full force and effect and enforceable.
8. The Terms of Service are not assignable, transferable or sublicensable by you except with HHC's prior written consent, but may be assigned or transferred by us without restriction. Any assignment attempted to be made in violation of the Terms of Service shall be void.
9. The section titles in the Terms of Service are for convenience only and have no legal or contractual effect.

Privacy Policy Statement
Effective on June 3, 2010.
This Privacy Statement ("Statement") describes the personal information we collect through our websites and mobile applications (the "Site"), and how we collect and use it.
I. Information We Collect and How We Use It
Account information. We ask for and store information about you when you create an account on the Site, such as your name, email address, and signup location. You can also import your account information from a third party to make the HHC registration process easier. We use your name to create your account name (username), and we use your signup location to help target the Site to the town you live in. We use your email address to send you updates, provide services to you in connection with the Site, and to contact you on behalf of other users sending you messages, complements, and the like. We may also use your signup location, birth date, and gender (if you supply them) to display relevant advertising to you. You can change your account information by accessing your profile.
Public content. You can contribute to the Site in a number of different ways, including writing reviews, uploading photos, uploading videos, participating in status threads, sending compliments, filling out your public profile, setting up polls, sending information to social networking sites, voting on other users' contributions. We may store these contributions (your "Public Content"), display them to other users, and use them for promotional purposes. Note that if you include personally identifiable information in your Public Content, it can be used and viewed by others. We are not responsible for the information you choose to include in your Public Content.
Messaging. The Site allows you to exchange messages with others using the messaging feature and email. We may store these messages in order to deliver them and allow you to manage them. The Site also allows you to send information from the Site to your phone via text message. In order to carry out these requests, we may log your phone number, your carrier, and the date and time that the message was processed. Your carrier may charge you for texts that you receive.
Location data. The Site can provide helpful information based on where you are. If you tell us where you are (e.g., by allowing your mobile device to send us your location), we may store and use that information to provide you with location-based information and advertising. If you want to deactivate this feature, you can either reinstall the application or deactivate GPS on your mobile device. The Site also allows you to tell other users where you are, if you choose. This site also uses GEO-IP to calculate your location based on your ip address. This allows us to deliver content to you depending when and where you are accessing the site.
Inviting friends. You can invite your friends to join the Site by providing their contact information, or by entering your log-in credentials to import your address book from other sites. We may store and use your friends' contact information to invite them to join and connect with you on the Site. Your friends will always have the opportunity to opt-out of receiving further emails from us.
Third party services. We allow you to access third party services, such as Facebook and Twitter, to share your selected Public Content with those services, and import information about who you are connected with on those other services so you can connect with them on the Site. You can always opt out on your HHC account page. Some of those third party services may also provide us with information from your accounts there to enhance and personalize your use of this Site. For example, you can allow Facebook to tell us who your Facebook friends are so you can follow their activity on HHC. You can adjust your HHC privacy settings to block this feature, in which case we will delete the information that we receive from your accounts with those other services. You can also further modify your privacy settings with those other services directly.
Activity and log data. We automatically store information related to your use of the Site, such as the pages you view on the Site, your browser type, IP address, the phone numbers and names of businesses that you call through the Site, requested URL, browser language, referring URL, and the date and time of your visit. We use this type of information to administer the Site and provide the highest possible level of service to you. We also use this information in the aggregate to perform statistical analyses of user behavior and characteristics in order to measure interest in and use of the various areas of the Site.
Cookies. We send cookies to your computer in order to uniquely identify your browser and improve the quality of our service. "Cookies" refer to small pieces of information that a website sends to your computer's hard drive while you are viewing the Site. We may use both session cookies (which expire once you close your browser) and persistent cookies (which stay on your computer until you delete them). Persistent cookies can be removed by following your browser help file directions. If you choose to disable cookies, some areas of the Site may not work properly or at all. Our cookies are linked to your information, such as your name, email address and password. We enable some of our business partners to use cookies in conjunction with your use of the Site. We have no access to or control over the use of these cookies. These cookies collect information about your use of the Site, such as where you came from, which pages you visited within the Site, and possibly other sites you visit if those sites cooperate with the same third party, but do not collect your name, email address, contact information or other personally identifiable information that by itself would allow the third party to identify or contact you.
Feedback. You should feel free to give us feedback, register a complaint, or ask questions about the Site. We may store your communications, including any personal information you include in them, so that we can effectively respond to you.
Administration. We may use the information described above for routine administrative purposes, such as investigating abuses on the Site, responding to user inquiries and enforcing and applying our Terms of Service and Statement.
Data storage. We store data in the United States.
Credit Card Purchases. If you purchase business advertising or other HHC products and services online, we collect and store billing and credit card information. This information will only be shared with third parties who perform tasks (such as fulfilling orders and processing credit card payments) required to complete the purchase transaction. When you enter sensitive information (such as a credit card number) on our registration or order forms, we encrypt that information using 128-bit secure socket layer technology (SSL).
II. Transfer of Information
Public Content. If you post content for public view on the Site, we may distribute such Public Content to a wider audience by sharing it (or portions of it) with third parties so that they can publish it on their own websites and media platforms. We may ask them to credit you as the source of these contributions by including your account name and profile photo.
Third party service providers. We may use third parties to provide technical and customer support, perform tracking and reporting functions, conduct quality assurance testing, perform payment processing and provide other services in connection with the Site. We may share information about you with them so that they can perform the services they are required to perform, but they are not permitted to use your personal information other than to provide the services requested by you.
Third party advertising. Third parties serve some of the ads on the Site. We do not send any individualized personal information to them, but they may have access to information that they obtain through cookies or that you share with them yourself. Note that we do not rent, share, sell or trade personally identifiable information with third parties for their direct marketing purposes.
Aggregate information. We may share non-personal information in the aggregate to third parties relating to user behavior in connection with actual or prospective business relationship with those third parties, such as advertisers and content distributors. For example, we may disclose the number of users that have been exposed to, or clicked on, advertising banners.
Business transfers. We may share your information with our parent company, subsidiaries, joint ventures, or other companies under a common control that we may have now or in the future, in which case we will require them to honor this Statement. If another company acquires our company or all or substantially all of our assets, that company will possess your information, and will assume the rights and obligations with respect to that information as described in this Statement.
Investigations. We reserve the right to investigate abuses on the Site, and enforce and apply our Terms of Service and Statement. We may disclose information about you to third parties if we have a good faith belief that such disclosure is reasonably necessary to (a) take action regarding suspected illegal activities; (b) enforce or apply our Terms of Service and Statement; (c) comply with legal process and law enforcement instructions and orders, such as a search warrant, subpoena, statute, judicial proceeding, or other legal process served on us; or (d) protect our rights, reputation, and property, or that of our users, affiliates, or the public.
III. Managing Your Information
We provide a number of tools to manage the use of your information on the Site. You may receive weekly newsletter communications from us.
